Article 2: Service Description and Scope

2.1 Talyx Service Offerings

Talyx provides premium AI strategy implementation services designed to deliver operational intelligence capabilities to growth-oriented businesses. Our services include:

• AI Strategy Development and Implementation: Comprehensive analysis, strategy formulation, and systematic implementation of intelligence capabilities aligned with business objectives
• Capability Development and Knowledge Transfer: Systematic development of internal capabilities creating permanent organizational infrastructure
• Performance Measurement and Validation: Real-time performance tracking, transparent measurement systems, and outcome validation

2.2 Digital Properties and Platforms

Talyx operates various digital properties providing access to thought leadership, research, tools, and engagement interfaces:

• Client portals and performance dashboards
• Knowledge repositories and research libraries
• Communication and collaboration platforms

2.3 Service Delivery Methodology

Talyx employs a systematic implementation methodology incorporating:

• Discovery & Design: Comprehensive organizational analysis, capability architecture, and engagement scope definition
• Build & Integrate: Intelligence system construction, process integration, and technology implementation

Article 3: Intellectual Property

3.1 Talyx Intellectual Property

Talyx retains all intellectual property rights in our methodologies, frameworks, tools, and pre-existing materials. Engagement deliverables may incorporate Talyx intellectual property under license terms specified in engagement agreements.

3.2 Client Intellectual Property

Clients retain all intellectual property rights in their pre-existing data, systems, and materials. Work product created specifically for clients during engagements transfers to client ownership upon completion and payment.

Article 4: Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during engagements. Confidential information excludes publicly available information and information independently developed without reference to confidential materials.

Article 5: Limitation of Liability

To the maximum extent permitted by applicable law, Talyx's total liability for any claims arising from services shall not exceed fees paid for the specific engagement giving rise to the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

Article 6: Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in San Antonio, Texas, under the rules of the American Arbitration Association.

Article 7: General Provisions

7.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

7.2 Modifications

Talyx reserves the right to modify these Terms at any time. Material changes will be communicated through prominent website notice or direct communication.
